MANAGEMENT AGREEMENT
The Company has signed a Management Agreement with Vista Developments
Ltd. effective February 1, 2002 at a rate of $2,500 per month for
a period of two years subject to regulatory filing review.
FINANCING
The Company has arranged a non-brokered private placement of 2,000,000
units at a price of $0.05 per unit. Each unit consists of one common
share plus one share purchase warrant to purchase an additional
share at $0.10 within one year from the date of issuance.
The funds will be used for working capital purposes and the private
placement is subject to regulatory approvals.
